Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Pudzee Copilot platform and related software, tools, dashboards, browser extensions, websites, and services (collectively, the "Service"), operated by Pudzee LLC ("Pudzee," "we," "us," or "our").

IMPORTANT — PLEASE READ CAREFULLY:

BY ACCESSING, PURCHASING, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

1. Nature of the Service

The Service is a software-based analytical and informational platform designed to present market-related information, contextual frameworks, interpretive analytics, visualizations, and user-controlled tools for general informational and educational purposes only.

The Service may include modules or features such as:

  • Market State or Regime classifications (e.g., Bullish, Bearish, Transition, No Edge)
  • Market Internals analytics (including but not limited to breadth, leadership, rotation, or related metrics)
  • Options Flow analytics including model interpretations of gamma, vanna, charm, and related options-market dynamics
  • Trade Ideas and Trade Health monitoring tools

All such features are model-derived interpretive representations and do not constitute factual statements about market participants, dealer activity, institutional positioning, or future price behavior.

The Service DOES NOT:

  • Provide financial, investment, trading, legal, or tax advice
  • Provide trading signals or execution instructions
  • Recommend or solicit the purchase or sale of any financial instrument
  • Execute, route, or place trades
  • Act as a broker, dealer, advisor, fiduciary, or agent
  • Manage accounts, positions, or risk on your behalf
  • Guarantee accuracy, completeness, profitability, or outcomes

All outputs generated by the Service are interpretive, model-derived, non-factual representations and should not be treated as statements of fact.

2. No Advice; No Reliance

You expressly acknowledge and agree that:

  • The Service is not intended to be relied upon for trading, investment, or financial decision-making
  • Any reliance you place on the Service is unreasonable and at your sole risk
  • You remain fully responsible for evaluating all market activity, strategies, and trades

Pudzee expressly disclaims any duty of care regarding your decisions, trades, or outcomes.

Pudzee has no obligation to update, correct, alert, notify, or continuously monitor market developments on your behalf. The Service may display stale, delayed, incomplete, or model-limited outputs. You assume all risk arising from the timing, absence, or interpretation of any output.

3. Third-Party and Affiliate Statements

You acknowledge and agree that:

  • Pudzee does not authorize any third party or affiliate to make representations, warranties, guarantees, or promises regarding the Service
  • Statements made by affiliates, influencers, partners, or other third parties are not endorsed, approved, or binding
  • You may not rely on any third-party or affiliate statements

Only statements published directly by Pudzee through its official websites, applications, and documentation govern the nature and scope of the Service.

4. Eligibility

  • You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service
  • The Service is not intended for use by minors

5. License to Use the Service

Subject to these Terms, Pudzee grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your personal, lawful use.

This license:

  • Does not transfer ownership
  • Does not grant any proprietary rights
  • May be suspended or revoked at any time, with or without notice

6. Access Mechanisms; No Ownership

Access to the Service may be provided through mechanisms such as passes, credits, or utilization blocks, as described at the time of purchase or issuance.

You acknowledge that:

  • Passes, credits, and utilization blocks are access rights only
  • They have no cash value
  • They do not constitute stored value, currency, or property
  • They confer no ownership or vested rights
  • They may expire, be modified, suspended, or discontinued

7. Payments and Billing

All fees charged by Pudzee are charged solely for access to software features, not for results, accuracy, performance, or profitability.

You agree that:

  • Access is granted upon issuance, not upon first use
  • Market outcomes are irrelevant to payment obligations
  • Pricing, access rules, and availability may change prospectively

8. Refunds and Cancellations

All payments are governed exclusively by the Refund & Cancellation Policy, which is incorporated by reference into these Terms.

Except as expressly stated in that policy or required by law:

  • All payments are non-refundable
  • Dissatisfaction, losses, or market conditions do not justify refunds

9. Incorporated Policies

These Terms incorporate by reference and together form a single binding agreement with the following documents:

  • Trading & Market Data Disclaimer
  • Risk Disclosure Statement
  • Refund & Cancellation Policy
  • Privacy Policy
  • Affiliate Program Terms (if applicable)

Your acceptance of these Terms constitutes acceptance of all incorporated policies.

10. User Conduct

You agree not to:

  • Use the Service for unlawful purposes
  • Attempt to reverse engineer, interfere with, or disrupt the Service
  • Circumvent access controls or payment systems
  • Misrepresent the Service to others

Accounts are licensed for individual use only. Users may not share, stream, rebroadcast, record for redistribution, or otherwise make the Service available to third parties.

Any attempt to circumvent account protections, create duplicate accounts, manipulate access controls, or otherwise abuse the Service may result in suspension or permanent termination of access without refund.

Pudzee reserves the right to investigate suspected abuse, fraud, or attempts to circumvent platform protections. Accounts involved in such activity may be suspended or terminated at Pudzee's sole discretion.

Pudzee reserves the right to suspend or terminate access for violations.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUDZEE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • ACCURACY, RELIABILITY, OR COMPLETENESS
  • NON-INFRINGEMENT

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PUDZEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES OR LOST PROFITS
  • PUDZEE'S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO PUDZEE IN THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO THE CLAIM

13. Indemnification

You agree to indemnify, defend, and hold harmless Pudzee from any claims, damages, losses, liabilities, costs, or expenses arising out of:

  • Your use of the Service
  • Your reliance on Service outputs
  • Your violation of these Terms or applicable law

14. Arbitration and Class Action Waiver

THIS SECTION AFFECTS YOUR LEGAL RIGHTS. PLEASE READ CAREFULLY.

Any dispute, claim, or controversy arising out of or relating to the Service or these Terms shall be resolved by binding arbitration, conducted on an individual basis only.

You expressly waive the right to:

  • Participate in any class, collective, or representative action
  • Act as a private attorney general

The arbitrator shall have exclusive authority to resolve all disputes, including the enforceability of this arbitration provision.

15. Governing Law

These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict-of-law principles.

16. Modifications

Pudzee may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.

17. Severability; Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between you and Pudzee regarding the Service and supersede all prior agreements or understandings.
