Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Pudzee Copilot platform and related websites, dashboards, software, browser extensions, communications, content, and services (collectively, the "Service"), operated by Pudzee LLC ("Pudzee," "we," "us," or "our").
IMPORTANT - PLEASE READ CAREFULLY: THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, A JURY TRIAL WAIVER, DISCLAIMERS OF WARRANTIES, AND LIMITATIONS OF LIABILITY THAT AFFECT YOUR LEGAL RIGHTS.
BY ACCESSING, PURCHASING, REGISTERING FOR, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.
IF YOU ACCESS OR USE THE SERVICE ON BEHALF OF AN ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS, AND "YOU" INCLUDES THAT ENTITY.
1. Acceptance and Scope
These Terms apply to all users of the Service, including visitors, purchasers, registered users, pass holders, and any person who accesses or uses Service content, outputs, or features in any way.
The Service may be accessed through websites, dashboards, web applications, static pages, browser-based panels, email, notifications, or other communication and distribution mechanisms that we make available.
2. Eligibility, Accounts, and Authorized Use
You may use the Service only if:
- You are at least 18 years old
- You are legally capable of entering into a binding contract
- Your use of the Service is not prohibited by applicable law
- You provide truthful, current, and complete account and payment information when requested
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Accounts are licensed to a single user unless we expressly authorize otherwise in writing. You may not share your account or permit any third party to access the Service through your credentials.
3. Nature of the Service
The Service is a software-based informational, analytical, and educational platform that may present or make available features such as:
- Trade alerts, including near-real-time commentary regarding entries, scales, reductions, exits, and related market developments
- Execution Map tools, including intraday, higher-time-frame, and prior-session levels
- Trade Desk Insights, including narrative market commentary, live trade analysis, and related session context
- Performance Dashboard information, including selected account-level or service-level performance metrics and session history
- Market State classifications and related regime context
- Market Internals analytics, breadth, leadership, rotation, and related contextual indicators
- Options Flow analytics, including model interpretations of gamma, vanna, charm, and related options-market dynamics
- Related visualizations, commentary, market context tools, and user-facing software features
The Service is designed to provide information, context, transparency, commentary, and analytical tools. The Service is not a brokerage service, managed account service, copy-trading service, automated trading service, fiduciary service, or advisory service.
The Service is not a copy-trading service, mirrored-trading service, or managed-account service, and users receive informational alerts and commentary only.
Except to the limited extent the Service may display records, disclosures, or summaries of Pudzee's own activity or account performance, Service outputs are interpretive and analytical in nature and may rely on internal models, heuristics, assumptions, manual inputs, third-party data, or combinations of the foregoing.
The Service does not constitute and is not intended to provide any of the following:
- Provide financial, investment, legal, tax, or accounting advice
- Provide personalized recommendations, suitability determinations, or individualized guidance
- Instruct you what you should buy, sell, hold, or avoid
- Create any broker, dealer, advisor, commodity trading advisor, introducing broker, fiduciary, agency, or similar relationship with you
- Manage your account, positions, risk, margin, or compliance obligations
- Guarantee alert timing, fill quality, market access, accuracy, completeness, profitability, or outcomes
4. Trade Alerts and Timing Limitations
The Service may publish trade alerts or related commentary concerning entries, scales, reductions, exits, risk adjustments, and session developments, including alerts described as "live" or near-real-time. You acknowledge and agree that:
- Any trade alert, including any alert described as live or near-real-time, is informational only and is not a personalized recommendation, solicitation, offer, instruction, or directive to enter, exit, size, or manage any trade
- Any decision to follow, ignore, attempt to mirror, delay, or otherwise act upon an alert is made solely by you and entirely at your own risk
- Pudzee has no duty to provide any alert before, during, or after any trade, and Pudzee is not obligated to disclose every trade, scale, reduction, exit, or account action
- Alerts may lag the market by seconds, minutes, or longer, and may be delayed, omitted, interrupted, corrected, revised, canceled, duplicated, partial, out of sequence, or unavailable
- Pudzee and its personnel may enter, scale, reduce, hedge, or exit positions at times, prices, sizes, or in manners different from what you see or can obtain
- You may be unable to match any alert due to latency, slippage, liquidity, volatility, broker routing, exchange rules, prop firm rules, account size, margin, commissions, fees, or platform limitations
- Pudzee is not responsible for any trading loss, missed opportunity, prop-firm violation, account restriction, liquidation, margin event, or any other consequence arising from your decision to act or not act on any alert
Trade alerts are not suitable for time-sensitive decision-making by users who require synchronized execution, guaranteed fills, or broker-level timing certainty.
For the avoidance of doubt, the Service does not create a copy-trading, mirrored-trading, managed-account, or signal-provider relationship with you.
5. Performance Dashboard and Performance Information
The Service may display performance metrics, account summaries, trade statistics, historical summaries, charts, logs, and similar information (collectively, "Performance Information"). You acknowledge and agree that:
- Performance Information is provided for transparency and informational purposes only and refers solely to Pudzee-designated accounts, Pudzee-designated trading activity, or internally compiled Pudzee service summaries, not to any user account or expected user performance
- Pudzee-designated accounts means accounts selected by Pudzee in its sole discretion for display of service-related trading activity or summaries, which may include proprietary trading accounts, evaluation accounts, brokerage accounts, or other internally tracked accounts, if and as labeled by Pudzee
- Performance Information may reflect one or more designated operator, proprietary trading, brokerage, or internally tracked accounts, and may include trading in Micro contracts rather than larger contract sizes
- Performance Information may be derived from broker data, platform exports, internal logs, manual reconciliations, reconciled trade records, corrected records, or other internal accounting records
- Performance Information may be provisional, unaudited, incomplete, delayed, restated, reclassified, or corrected from time to time
- Performance Information is not a representation that any user will be able to obtain the same entries, exits, fills, size, timing, or results
- Past performance, published results, and displayed statistics are not guarantees of future performance or user outcomes
- Pudzee does not represent that Performance Information is typical, universally replicable, independently verified, or suitable for use as the basis of any trading or investment decision
You understand that larger or smaller instruments, different account types, different fees, different liquidity, different platforms, and different execution quality can produce materially different outcomes from the same general trade idea or alert.
For purposes of this Section 5, corrected records means records adjusted to conform to later-confirmed broker, platform, fee, timestamp, or trade-matching information.
6. Execution Map, Trade Desk Insights, and Analytical Tools
The Service may present interpretive analytical tools such as Execution Map levels, Trade Desk Insights, Market State, Market Internals, Options Flow, and similar context layers. You acknowledge and agree that:
- These outputs may be model-derived, interpretive, heuristic, manually annotated, or based on third-party data inputs
- They are not factual statements about dealer positioning, institutional intent, future price direction, or guaranteed support or resistance
- Levels, labels, classifications, narrative commentary, and contextual readouts may change, fail, degrade, or become invalid without notice
- Outputs that appear precise, authoritative, timely, or actionable may nonetheless be incomplete, delayed, unstable, or incorrect
You remain solely responsible for deciding whether and how to use any analytical output.
7. No Advice; No Fiduciary Relationship; No Reliance
You expressly acknowledge and agree that:
- The Service is not intended to be relied upon for trading, investment, execution, suitability, or risk-management decisions
- You will not treat any Service content, alert, chart, metric, dashboard view, or commentary as professional advice or a directive to trade
- Any reliance you place on the Service is unreasonable and at your sole risk
- Pudzee owes you no fiduciary duty, advisory duty, monitoring duty, suitability duty, best-execution duty, or duty of care with respect to your trades, strategies, account management, or outcomes
Pudzee has no obligation to update, synchronize, correct, alert, notify, or continuously monitor market developments, account developments, or execution developments on your behalf.
8. Your Trading Responsibility
You are solely responsible for:
- Determining whether any trade, alert, level, or market view is appropriate for you
- All entries, exits, scales, reductions, hedges, stops, risk limits, and position management decisions
- Compliance with your broker, exchange, prop firm, platform, account, or jurisdictional rules, including any prop-firm drawdown limits, position limits, product restrictions, and trading-hour restrictions
- Monitoring your own account balances, margin, buying power, max loss, trailing drawdown, and risk limits
- All trading losses, taxes, fees, commissions, penalties, account breaches, and related consequences
If you choose to place any trade after viewing the Service, you do so entirely at your own discretion and risk.
9. Access Passes, Availability, and Service Changes
Access to the Service may be sold or granted through passes, session windows, feature-based entitlements, or other access mechanisms described at the time of purchase or issuance.
You acknowledge and agree that:
- Access rights are licenses only; they are not property, stored value, or cash equivalents
- Access may be time-limited, session-limited, feature-limited, account-limited, or jurisdiction-limited
- Access may begin upon issuance, activation, or the start of the applicable access window, whichever occurs first
- Access may automatically expire at the end of the designated window or term without further notice
- Feature availability may differ by pass type, session type, region, device, or technical condition
- Pudzee may add, remove, modify, suspend, or discontinue features, layouts, data sources, alert workflows, or access models at any time
We do not guarantee that the Service will be continuous, uninterrupted, secure, timely, or error-free. The Service may be unavailable or degraded due to market-data interruptions, exchange issues, third-party provider failures, internet outages, software bugs, maintenance, security events, force majeure events, or other causes.
10. Fees, Billing, Taxes, and Refunds
All fees charged by Pudzee are charged solely for access to the Service and not for results, performance, accuracy, alert timing, execution quality, suitability, profitability, or outcomes.
You acknowledge and agree that:
- Access is granted upon issuance or activation as described in the applicable purchase flow or policy, not upon first use or upon obtaining any particular trading outcome
- Missed alerts, delayed alerts, partial alerts, stale information, inability to replicate a trade, dissatisfaction, account losses, market conditions, and user-specific execution differences do not create any refund right except as expressly stated in the Refund & Cancellation Policy or required by law
- You are responsible for all applicable taxes, duties, and governmental charges associated with your purchase or use of the Service, excluding taxes based on Pudzee's net income
- Payments may be processed by third-party processors, and your use of those processors may be subject to their separate terms and policies
All refunds, cancellations, and payment disputes are governed exclusively by the Refund & Cancellation Policy, which is incorporated into these Terms by reference.
11. Ownership and Limited License
The Service, including all software, code, content, trade-alert formatting, dashboard layouts, charts, graphics, text, branding, compilations, and related intellectual property, is owned by Pudzee or its licensors and is protected by applicable intellectual property laws.
Subject to your compliance with these Terms, Pudzee grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your own personal, lawful use.
This license does not grant you any ownership right or any right to reproduce, redistribute, sublicense, sell, publish, repurpose, train models on, or commercially exploit any part of the Service.
If you submit comments, suggestions, ideas, or feedback to Pudzee, you grant Pudzee a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that feedback without compensation or attribution.
12. Prohibited Conduct
You agree not to, and not to assist or permit others to:
- Use the Service for any unlawful, fraudulent, deceptive, or unauthorized purpose
- Misrepresent the Service as providing guaranteed outcomes, personalized advice, or legally compliant copy-trading instructions
- Reverse engineer, scrape, harvest, crawl, frame, mirror, or interfere with the Service or its security measures
- Circumvent paywalls, entitlements, access windows, payment systems, rate limits, authentication controls, or geographic restrictions
- Share, stream, restream, rebroadcast, record for redistribution, resell, sublicense, or commercially redistribute the Service or any Service outputs
- Use bots, automation, scripts, or similar means to access the Service in a manner not expressly authorized by Pudzee
- Infringe Pudzee's intellectual property or violate the rights of any third party
Any violation of this Section may result in immediate suspension or termination without refund, in addition to any other remedies available to Pudzee.
13. Third-Party Services, Market Data, and Affiliate Statements
The Service may depend on or reference third-party services, including market-data vendors, exchanges, brokers, payment processors, cloud providers, communication services, or proprietary trading firms.
Pudzee does not control and is not responsible for third-party services, third-party data quality, third-party outages, third-party terms, or third-party actions or omissions.
The limitations of liability in Section 16 apply to claims arising from third-party services, third-party data failures, third-party outages, or third-party acts or omissions to the maximum extent permitted by law.
Statements made by affiliates, influencers, partners, users, or other third parties are not authorized representations of Pudzee unless expressly published by Pudzee through its official channels.
You may not rely on any third-party statement as modifying these Terms or expanding Pudzee's obligations.
14. Suspension and Termination
Pudzee may suspend, restrict, or terminate your access to all or any part of the Service at any time, with or without notice, if:
- You violate these Terms or any incorporated policy
- We suspect fraud, abuse, chargebacks, account sharing, credential misuse, or unauthorized redistribution
- We believe your use creates legal, operational, reputational, or security risk
- A third-party provider, payment processor, or compliance requirement compels or supports such action
- We discontinue the Service or any portion of it
Upon suspension or termination, your license to use the Service ends immediately. Sections that by their nature should survive termination will survive, including provisions relating to ownership, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and interpretation.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUDZEE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, RELIABILITY, AVAILABILITY, TIMELINESS, COMPLETENESS, OR FREEDOM FROM INTERRUPTION, DELAY, OR ERROR.
WITHOUT LIMITING THE FOREGOING, PUDZEE DOES NOT WARRANT THAT:
- Any alert will be timely, complete, correctly sequenced, or actionable
- Any displayed level, metric, or commentary will be accurate or suitable for your use
- Any performance information will be error-free, complete, or independently verified
- The Service will meet your expectations, trading goals, or profit objectives
- The Service will be uninterrupted, secure, or free from bugs, outages, or harmful components
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- PUDZEE AND ITS OFFICERS, MANAGERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF OPPORTUNITY, LOSS OF GOODWILL, LOSS OF DATA, ACCOUNT LOSSES, TRADING LOSSES, MARGIN CALLS, LIQUIDATIONS, OR PROP-FIRM BREACHES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
- PUDZEE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID FOR THE SPECIFIC PASS, ACCESS PERIOD, OR TRANSACTION THAT IS THE SUBJECT OF THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100)
THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, EQUITY, OR ANY OTHER THEORY.
NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
WITHOUT LIMITING THE PRECEDING SENTENCE, NOTHING IN THESE TERMS LIMITS LIABILITY TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW, INCLUDING, WHERE REQUIRED BY APPLICABLE LAW, LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR GROSS NEGLIGENCE.
17. Indemnification
You agree to defend, indemnify, and hold harmless Pudzee and its officers, managers, employees, contractors, affiliates, licensors, and service providers from and against any claims, actions, demands, investigations, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- Your access to or use of the Service
- Your trading decisions, account activity, or reliance on any Service output
- Your violation of these Terms or any incorporated policy
- Your violation of applicable law or the rights of any third party
Pudzee may assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Pudzee in that defense.
18. Time Limit to Bring Claims
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE DATE ON WHICH YOU KNEW OR REASONABLY SHOULD HAVE KNOWN OF THE FACTS GIVING RISE TO THE CLAIM; PROVIDED, HOWEVER, THAT IF A LONGER LIMITATIONS PERIOD IS REQUIRED BY NON-WAIVABLE APPLICABLE LAW, THAT LONGER PERIOD WILL CONTROL TO THE EXTENT REQUIRED.
19. Mandatory Individual Arbitration; Class Action Waiver; Jury Trial Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
19.1 Agreement to Arbitrate
Except for disputes that qualify for small claims court, requests for temporary injunctive relief to protect intellectual property or confidential information, or matters that applicable law does not permit to be arbitrated, you and Pudzee agree that any dispute, claim, or controversy arising out of or relating to the Service, these Terms, any incorporated policy, or your relationship with Pudzee will be resolved exclusively by final and binding individual arbitration.
This arbitration agreement is governed by the Federal Arbitration Act ("FAA") and survives termination of these Terms.
19.2 Informal Dispute Resolution First
Before initiating arbitration, the party asserting the dispute must send a written notice of dispute to the other party and attempt in good faith to resolve the dispute informally for at least thirty (30) days.
If you are initiating a dispute, you must send your notice to legal@pudzee.com with the subject line "Legal Dispute Notice" and include your full name, account email, a description of the dispute, and the relief sought. You may also send the same notice through any lawful notice method addressed to Pudzee's registered office or registered agent in Pennsylvania as reflected in applicable public filings. Pudzee will use commercially reasonable efforts to acknowledge receipt of a dispute notice. If Pudzee does not respond substantively within fourteen (14) days after actual receipt, you may elect to commence arbitration after that point.
19.3 Arbitration Forum and Rules
If a dispute is not resolved informally, it will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms.
If AAA is unavailable or unwilling to administer the dispute, the parties will confer in good faith to select an alternative administrator. If the parties cannot agree, a court of competent jurisdiction will appoint the administrator.
Unless the arbitrator determines that an in-person hearing is required by applicable law or the interests of justice, the arbitration will be conducted remotely by video conference, telephone, written submissions, or a combination thereof.
If an in-person hearing is required, it will take place in Pennsylvania, unless applicable law requires a different location.
19.4 Individual-Only Proceedings; No Class or Mass Actions
YOU AND PUDZEE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, CONSOLIDATED, COORDINATED, OR MASS ACTION OR PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, representative, coordinated, or mass proceeding.
For the avoidance of doubt, this Section 19.4 does not prohibit separate individual arbitrations by different claimants arising out of the same alert, event, or course of conduct, provided each arbitration is brought and administered separately.
19.5 Small Claims Court Carve-Out
Either party may bring an individual claim in small claims court if the claim qualifies and remains on an individual, non-class, non-representative basis. Section 20 does not prohibit a qualifying individual small claims action in the county where the user resides or in another court of competent small claims jurisdiction permitted by applicable law.
19.6 Opt-Out Right
You may opt out of this arbitration agreement by sending a written opt-out notice to legal@pudzee.com within thirty (30) days after the date you first accept these Terms. For purposes of this Section 19.6, you first accept these Terms on the earliest date you create an account, complete a purchase, click to accept the Terms, or otherwise first use the Service after these Terms become effective.
Your opt-out notice must include your full legal name, account email, and a clear statement that you wish to opt out of Section 19. An opt-out notice is effective only if Pudzee actually receives it within the applicable thirty (30) day period. If Pudzee receives a timely opt-out notice, Pudzee will use commercially reasonable efforts to send a confirmation email to the address associated with the notice. If you timely opt out, Sections 19.1 through 19.5 will not apply to you, but all other Terms will continue to apply.
19.7 Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND PUDZEE EACH WAIVE ANY RIGHT TO A JURY TRIAL. IF THIS WAIVER IS FOUND UNENFORCEABLE AS TO ANY CLAIM OR PARTY, IT WILL BE ENFORCED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
19.8 Severability of Arbitration Terms
If any portion of this Section 19 is found unenforceable as to a particular claim or request for relief, that portion will be severed and the remaining portions will remain in force to the maximum extent permitted by law. If this Section 19 is found wholly unenforceable as to a dispute, that dispute will proceed exclusively in the courts described in Section 20, subject to the other limitations and protections in these Terms to the maximum extent permitted by law.
20. Governing Law and Venue for Non-Arbitrable Disputes
These Terms and any dispute between you and Pudzee are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except to the extent superseded by the FAA with respect to arbitration and except to the extent non-waivable federal or state law governs a particular claim.
To the extent a dispute is permitted to proceed in court, and except to the extent applicable law requires otherwise, you and Pudzee agree that the exclusive venue for that dispute will be the state courts of the Commonwealth of Pennsylvania or, where federal jurisdiction exists, the federal courts sitting in Pennsylvania, and each party irrevocably consents to the personal jurisdiction of those courts.
21. Changes to These Terms
Pudzee may modify these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms in the Service, by email, or by other reasonable means.
The updated Terms will be effective on the date stated at the top of the revised document unless a later effective date is stated.
Your continued access to or use of the Service after the effective date of revised Terms constitutes your acceptance of the revised Terms, except to the extent prohibited by law or as otherwise stated in Section 19 regarding arbitration opt-outs.
Material changes to Section 19 will restart the thirty (30) day opt-out period described in Section 19.6 as of the effective date of the revised arbitration terms.
22. Additional Policies, Interpretation, and Miscellaneous
The following documents are incorporated into these Terms by reference and form part of the binding agreement between you and Pudzee:

Additional terms, disclosures, purchase-flow conditions, or feature-specific rules that are expressly presented to you at the time of purchase, activation, or use are also incorporated into these Terms to the extent they do not conflict with non-waivable applicable law.
If a provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
Pudzee's failure to enforce any provision is not a waiver of that provision.
You may not assign or transfer these Terms or any rights hereunder without Pudzee's prior written consent. Pudzee may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Pudzee regarding the Service and supersede all prior or contemporaneous understandings relating to the Service.

Unless applicable law requires another method, you agree that Pudzee may provide legal notices to you by posting them within the Service, by email to the address associated with your account, or by other reasonable electronic means.
For suspension, termination, account-access restrictions, arbitration notices, or other legal notices materially affecting your rights, Pudzee may provide notice by email to the address associated with your account, and any in-Service posting will supplement rather than replace that email notice unless Pudzee does not have a valid email address for you.
Unless Pudzee designates another method in writing, all legal notices from you to Pudzee under these Terms must be sent to legal@pudzee.com or through any other lawful notice method addressed to Pudzee's registered office or registered agent in Pennsylvania as reflected in applicable public filings.
Nothing in these Terms limits any lawful method of service of process permitted under applicable law, including service through Pudzee's registered office or registered agent in Pennsylvania as reflected in applicable public filings.
