Affiliate Program Terms
PUDZEE COPILOT AFFILIATE PROGRAM TERMS
These Affiliate Program Terms ("Affiliate Terms") govern participation in the Pudzee Copilot affiliate or referral program (the "Program"), operated by Pudzee LLC ("Pudzee," "we," "us," or "our").
These Affiliate Terms are incorporated by reference into the Terms of Service. By participating in the Program, you agree to be legally bound by these Affiliate Terms and all incorporated policies.
1. Nature of the Program (No Agency / No Authority)
1.1 Independent Relationship Only
The Program is a marketing referral program only. Affiliates are independent third parties and are not employees, agents, partners, brokers, advisors, fiduciaries, or representatives of Pudzee.
Affiliates have:
- No actual or apparent authority to act on behalf of Pudzee
- No authority to bind Pudzee to any agreement or obligation
- No authority to make representations, warranties, guarantees, or promises regarding the Service
No affiliate communication shall be deemed authorized, approved, or endorsed by Pudzee.
2. Eligibility and Enrollment
Participation in the Program is subject to approval by Pudzee and may be denied or revoked at any time in Pudzee's sole discretion.
Pudzee may require affiliates to agree to additional onboarding, verification, or compliance requirements.
3. Referral Attribution
3.1 Purchase-Level Code Attribution
Affiliate commissions are determined on a purchase-by-purchase basis based on the promo or referral code actually applied to the qualifying order at checkout.
Commission attribution:
- Is determined solely by Pudzee
- Is based on Pudzee's checkout, payment, and anti-fraud records
- May be denied, adjusted, withheld, or reversed for fraud, abuse, self-referrals, duplicate payment fingerprints, chargebacks, refunds, reversals, or other policy violations
Pudzee's attribution determinations are final and binding.
4. Affiliate Commissions
4.1 Commission Structure
Affiliates may earn a commission equal to twenty percent (20%) of qualifying purchases made by users they refer.
Commissions apply only to eligible purchases where an approved affiliate code is applied during the customer's first one hundred eighty (180) days following that customer's first paid purchase with Pudzee.
After the 180-day commission window expires, no additional affiliate commissions will accrue for that customer, even if the customer continues to use a code that still provides a discount.
4.2 Attribution and Tracking
Pudzee may allow discounts through affiliate codes, house codes, marketing codes, or other promotional mechanisms.
Not every discount code is commissionable. A discount may be valid for the customer while creating no affiliate payout.
If a customer uses different affiliate codes on different qualifying purchases during the 180-day commission window, the affiliate whose code was applied to that specific purchase receives the commission for that purchase only.
Pudzee's determination of attribution, eligibility, and commission qualification is final and binding.
4.3 Qualifying Purchases
Commissions are earned only on completed, valid purchases that are not refunded, reversed, disputed, or identified as fraudulent or abusive.
Pudzee reserves the right to withhold or revoke commissions associated with:
- Fraudulent activity
- Duplicate or self-referrals
- Shared or reused payment methods across different users
- Abuse of promotional mechanisms
- Violations of these Affiliate Terms
4.4 No Guaranteed Earnings
Participation in the Program does not guarantee earnings.
Affiliate income depends on successful referrals and valid qualifying purchases.
4.5 Commission Changes
Pudzee reserves the right to modify commission rates, referral windows, qualifying purchase definitions, or payout structures at any time in its sole discretion.
4.6 Commission Payout Timing
Commission payouts may be issued periodically as determined by Pudzee. Pudzee may delay payouts for a reasonable period to account for refunds, chargebacks, fraud review, verification, or other risk-control measures.
5. Referral Discounts
Pudzee may offer referral-based discounts to users who use an affiliate referral link, promo code, or other promotional code.
Such discounts, including any percentage or promotional pricing, may be modified, limited, or discontinued by Pudzee at any time without notice.
Affiliates have no authority to promise specific discounts or promotional terms beyond those publicly offered by Pudzee.
6. Self-Referral Prohibition
Self-referrals, duplicate accounts, or attempts to manipulate referral attribution systems are strictly prohibited and may result in forfeiture of commissions and termination from the Program.
7. Strictly Prohibited Representations
Affiliates are strictly prohibited from making any false, misleading, speculative, or outcome-based representations regarding Pudzee or the Service.
Affiliates MAY NOT state or imply that:
- The Service provides trading signals
- The Service provides financial, investment, or trading advice
- The Service guarantees profits, accuracy, or performance
- Users will make money using the Service
- The Service replaces risk management or decision-making
- The Service tells users when, how, or what to trade
Any reference to profits, win rates, accuracy, outcomes, or guarantees is strictly prohibited.
8. Required Disclosures and Compliance
Affiliates must:
- Clearly and conspicuously disclose that they receive compensation for referrals
- Comply with all applicable advertising, endorsement, and consumer-protection laws, including FTC disclosure requirements
Failure to disclose affiliate compensation constitutes a material violation of these Affiliate Terms.
9. No Reliance by Users on Affiliate Statements
9.1 User Non-Reliance
Users expressly acknowledge and agree that they may not rely on any statements, representations, claims, or content made by affiliates.
Only statements made directly by Pudzee through its official websites, applications, and documentation govern the nature and scope of the Service.
9.2 Legal Irrelevance of Affiliate Statements
Any affiliate statements:
- Do not modify or supplement Pudzee's Terms of Service
- Do not override Pudzee's Disclaimers or Risk Disclosures
- Are legally irrelevant to the contractual relationship between Pudzee and the user
10. No Endorsement or Review of Affiliate Content
Pudzee:
- Does not review, approve, or endorse affiliate content
- Does not control affiliate messaging
- Is not responsible for affiliate communications
Affiliate content is created and distributed solely at the affiliate's own risk.
11. Assumption of Risk Regarding Affiliates
Users expressly assume all risk associated with relying on affiliate content and agree that any such reliance is unreasonable.
Affiliates assume full responsibility for their promotional activities and communications.
12. Affiliate Performance Claims Prohibited
Affiliates may not make representations regarding profitability, trading performance, win rates, success rates, or financial outcomes associated with the Service.
Affiliates may not publish screenshots, account balances, or trading results attributed to the Service.
Affiliates may not present the Service as providing trading signals, guaranteed results, or financial advice.
13. No Public Streaming or Redistribution
Affiliates may not publicly stream, broadcast, rebroadcast, or screen-share the Service interface in a way that allows third parties to view or replicate the Service without purchasing access.
Promotional demonstrations are allowed, but continuous streaming or redistribution of the Service is prohibited.
Violation of these provisions may result in immediate termination of the affiliate relationship and forfeiture of unpaid commissions.
Content that effectively substitutes for direct access to the Service or exposes proprietary functionality may be deemed prohibited redistribution.
14. Monitoring, Enforcement, and Termination
Pudzee reserves the right to:
- Monitor affiliate promotional activities
- Require modification or removal of content
- Suspend or terminate participation at any time, without notice
- Withhold, deny, or forfeit unpaid or pending commissions for violations
15. Indemnification
Affiliates agree to indemnify, defend, and hold harmless Pudzee from any claims, damages, losses, liabilities, costs, or expenses arising out of:
- Affiliate misrepresentations
- Affiliate promotional content
- Violations of these Affiliate Terms
- Violations of applicable law or regulation
16. Modification or Termination of Program
Pudzee may modify, suspend, or terminate the Program at any time, with or without notice.
Affiliates have no vested rights in continued participation or future earnings.
17. Governing Law and Disputes
Affiliate participation is subject to the arbitration, class-action waiver, and governing-law provisions set forth in the Terms of Service.
